All information and content available on this Site (collectively, “Content”) is protected by copyright and other intellectual property laws. The Content is owned by owynsafety.com, its Affiliates, and/or their respective licensors and suppliers (collectively, “Licensors”). The Content is intended for the exclusive use of customers who agree to be bound by this User Agreement. Certain users will also pay a fee to access special content not otherwise available to non-paying users.

While you may interact with or download the Content for your exclusive use, you may not modify, alter, adapt, or change licensed, copyrighted or trademarked material. Further, you may not distribute, sell, publish, transfer, transmit or otherwise make available to third parties, any of the Content without the prior written consent of owynsafety.com.

Prohibited Activities

The following is a partial list of the kinds of activities that are prohibited on or through the Site: (a) submitting material that is patently offensive to the online community, such as content that promotes racism, bigotry, hatred or physical harm of any kind against any group or individual; (b) engaging in activities or submitting material that could be harmful to minors; (c) engaging in activity or submitting material that harasses or advocates harassment of another person; (d) engaging in activity that involves the transmission of “junk mail” or unsolicited mass mailing or “spam” to owynsafety.com Users or others; (e) engaging in activity or submitting material, or promoting information, that is fraudulent, false or misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous; (f) submitting material that contains restricted or password-only access pages, or hidden pages or images; (g) submitting material that displays pornographic or sexually explicit material of any kind; (h) submitting material that provides instructional information about illegal activities such as making or buying illegal weapons, violating someone’s privacy, or providing or creating computer viruses; (i) engaging in activities or submitting materials that solicit passwords or personally identifiable information for unlawful purposes from other Users; (j) engaging in commercial activities and/or sales without our prior written consent, such as contests, sweepstakes, barter, advertising and pyramid schemes; (k) using the Site’s lead forms and/or toll-free numbers to advertise or promote products and services to owynsafety.com advertisers; (l) using any robot, spider or other automatic device, or a manual process, to monitor or copy web pages or the Content contained in the Site or for any other unauthorized purpose without our prior expressed written permission; (m) using any device, software or routine to interfere or attempt to interfere with the proper working of the Site; (n) decompiling, reverse engineering, disassembling or otherwise attempting to obtain the source code for the Software; or (o) taking any action that imposes an unreasonable or disproportionately large load on owynsafety.com’s hardware and software infrastructure (collectively, “Prohibited Activities”).

Disclaimer of Warranties; Limitation of Liability

We try to keep our site safe, secure, and functioning properly. You agree that by accessing our site you are at least 18 years of age and understand you are making use of our content or services at your own risk, and that content and services are being provided to you on an “AS IS” and “AS AVAILABLE” basis. Accordingly, TO THE EXTENT PERMITTED BY APPLICABLE LAW, WE EXCLUDE ALL EXPRESS OR IMPLIED WARRANTIES, TERMS AND CONDITIONS INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Some states do not allow the disclaimer of implied warranties, so the foregoing disclaimer may not apply to you.

In addition, to the extent permitted by applicable law, WE ARE NOT LIABLE, AND YOU AGREE NOT TO HOLD US RESPONSIBLE, FOR ANY DAMAGES OR LOSSES (including, but not limited to, loss of money, goodwill or reputation, profits, or other intangible losses or any special, indirect, or consequential damages) resulting directly or indirectly from: • your use of or your inability to use our site, content or services; • delays or disruptions in our site, content or services; • viruses or other malicious software obtained by accessing, or linking to, our site, content or services; • glitches, bugs, errors, or inaccuracies of any kind in our site, content or services; • damage to your hardware device from the use of any US Compliance site, content or services; • the content, information or services of third parties, whose content may be posted, linked, shared, uploaded or otherwise made available on our site; • Your liability to third parties for use of content from our site. If we are found to be liable, our liability to you or to any third party is limited to the greater of (a) the total fees which you paid to us in the 12 months prior to the action giving rise to the liability, or (c) $100.

Some states do not allow the exclusion or limitation of incidental or consequential damages of implied warranties, so the above exclusion or limitation may not apply to you.

Indemnity

You will indemnify and hold us harmless from any claim or demand, including reasonable legal fees, made by any third party due to or arising out of your breach of this Agreement, your use of this site or your breach of any law or the rights of a third party.

Legal Disputes

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS AND WILL HAVE A SUBSTANTIAL IMPACT ON HOW CLAIMS YOU AND US COMPLIANCE SYSTEMS HAVE AGAINST EACH OTHER ARE RESOLVED.

A. Applicable Law

You agree that the laws of the State of Ohio, without regard to principles of conflict of laws, will govern the User Agreement and any claim or dispute that has arisen or may arise between you and US Compliance Systems, except as otherwise stated in the User Agreement.

B. Judicial Forum Selection

Unless we agree otherwise, any claim or dispute that has arisen or may arise between you and US Compliance Systems must be resolved exclusively by a state or federal court located in Summit County, Ohio. You and US Compliance Systems agree to submit to the personal jurisdiction of the courts located within Summit County, Ohio for the purpose of litigating all such claims or disputes.

C. Miscellaneous

If for any reason a court of competent jurisdiction finds any provision of this User Agreement, or portion thereof, to be unenforceable, it will not affect the validity of the entire User Agreement, and the remainder of the terms will continue in full force and effect. Failure by US Compliance Systems to enforce any provision of this User Agreement will not be deemed a waiver of future enforcement of that or any other provision.
